On the morning of April 19, according to the text messages received by Shanghai Chengchao employees, the Daily Economic News went to the third floor of 298 Maotai Road, Changning District, Shanghai. The reporter observed at the scene that the office address is actually a "service center for the old". The security guard downstairs told reporters that the Shanghai Chengchao team had worked on the third floor for several days, but all were evacuated on the evening of the 18th.
A person in charge of Xianxia Street where the place is located told the reporter that the office of the old service center was indeed borrowed by Shanghai Chengchao. Because Shanghai Chengchao has provided bread and other goods for sale in Xianxia Community in the past, the two sides have cooperated, so this time, at the request of each other, the street provided Shanghai Chengchao with a temporary office address. However, according to the person, he does not know "Liu Yuling" and has never heard of the name, and the Shanghai Chengchao team withdrew on the evening of the 18th.

Who on earth is Liu Yuling?
With all kinds of questions, on the afternoon of April 19th, the reporter went to Building 2, 1316 Jigao Road, Minhang District, Shanghai, which is registered by another company with Liu Yuling as its legal representative: Shanghai City Food Distribution Co., Ltd.
The reporter observed at the scene that the building whose road sign is No. 1316 Jigao Road has been demolished, surrounded by dilapidated and old buildings and sparsely populated.
Construction announcements at the site show that the demolition of the building began in March 2023. The reporter immediately contacted the supervised unit of the project, Shanghai Tianyou Engineering Consulting Co., Ltd., and the relevant personnel told reporters over the phone that the project had been dismantled last year and that it was not clear that the place had been registered as a company, nor was it clear who was "Liu Yuling".
1316 Jigao Road, Minhang District, located in the western suburbs of Shanghai, is more than 30 kilometers away from Shanghai's landmark Oriental Pearl. On the afternoon of April 19, the reporter dialed one of the advertising numbers at random on the grounds of the demand of registered companies. On the phone, the receiver said that he could spend several thousand yuan to find a "legal person" for the reporter (legal representative, the same below). The quotation given by him shows that the price for finding a "legal person" is 8000 yuan per person, and the price for changing the registered address of a company is 2500 yuan per family, but if a "legal person" is required to bear the debt, the price will be higher and it will be more difficult to find a "legal person".
Collect debts from Tiantian Orchard
The compensation for the employee's Ninten1 will have to wait until the liquidation of the Shanghai city excess, and the supplier's payment is even more impossible to recover. According to a rough estimate from the supplier's arrears registration form obtained by the reporter, there are at least several million yuan in arrears.
A supplier told the Daily Business News that he took Shanghai Chengchao to court in September 2023 because of arrears of payment. The judgment issued in March 2024 required Shanghai City to pay the arrears and deposit within 10 days, but it has not received the money so far. "We have also checked the stores and company accounts related to Shanghai Chengchao, and we have no money."
Some suppliers pinned their hopes on the retreated Tiantian orchard. Some suppliers told reporters that they had also signed a contract with the Tiantian Orchard during the previous cooperation, but now the city supermarket was unable to pay, and this time they also sued the Tiantian Orchard and are currently waiting for the trial.
With regard to the current situation, Zhou Yazhu, a lawyer at Pacific Century (Shanghai) Law firm, said that suppliers are advised to negotiate with their partners (city supermarket or Tiantian Orchard) first, put forward their own demands reasonably and legally, and properly resolve disputes.
If the partner has disappeared or refused to communicate, it is necessary to specify the exact amount of the arrears and the time of payment, and sort out the e-mails, Wechat, manifests, invoices, etc. To resolve disputes through litigation. At the same time, make an application for property preservation in the course of litigation, so that the other party will not have any property to enforce the final judgment.
In the course of litigation, if it is finally found out that the former shareholder of the partner, knowing that the company has external liabilities and is unable to pay off, maliciously transfers the shares that have not yet reached the time limit for capital contribution in order to evade the responsibility of shareholders, it generally includes transferring the shares to a third party that does not have the ability to contribute at an unreasonably low price or free of charge, thus harming the interests of the company's creditors. The transferring shareholders shall still bear supplementary liability for the part of the company's debts that cannot be repaid within the scope of non-capital contribution.
The reporter learned that on August 30, 2023, Shanghai Chengchao changed its stake from one-person shareholder to Tiantian Orchard, and Shanghai Huiqui International Trading Co., Ltd. held 10%. In this change, the price for the transfer of more than 10% stake in Shanghai City is 160000 yuan.

On April 19, the reporter went to the logistics and distribution center of Tiantian Orchard in Qingpu District, Shanghai. At about 4 p.m., the reporter observed that the whole logistics park was relatively quiet, with a large number of vacant fruit racks stacked in front of the building of a suspected work warehouse, and there was no staff handling operation at the scene.
The reporter saw three people wearing daily orchard overalls at the scene. Despite wearing the work uniforms of the Orchard, the two staff members of the doorman said they did not know which company they belonged to.
